Welcome to Khaticraft. These Terms of Service ("Terms," "Agreement") constitute a legally binding contract between you ("User," "Customer," "you," or "your") and Khaticraft Furnishing & Decor Solutions Pvt. Ltd. ("Khaticraft," "Company," "we," "our," or "us"), a company incorporated under the laws of India, having its registered office at G1-54, RIICO Industrial Area, Sadulpur, Churu-331023, Rajasthan, India & Operational Office at Plot No. 9A & 31, Furniture Block, WHS Kirti Nagar, New Delhi – 110015, India.

These Terms govern your access to and use of the website www.khaticraft.com (the "Website"), our mobile applications, and all related services, content, and products offered by Khaticraft (collectively, the "Services").

BY ACCESSING, BROWSING, REGISTERING ON, OR PURCHASING FROM OUR WEBSITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, along with our Privacy Policy, Refund & Return Policy, Shipping Policy, and any other policies incorporated by reference. If you do not agree, please do not use our Website or Services.

These Terms are published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Consumer Protection (E-Commerce) Rules, 2020, the Information Technology Act, 2000, the Indian Contract Act, 1872, and other applicable laws of India.

1. Definitions

"Account" means the user account you create on our Website to access certain features and place orders.

"Buyer" or "Customer" means any individual or entity who purchases or intends to purchase products or services through our Website.

"Content" means all text, images, videos, designs, graphics, logos, product descriptions, and other materials available on the Website.

"Custom Order" or "Bespoke Order" means furniture or decor items manufactured to the Customer's specific design, dimensions, material, or finish requirements.

"Order" means a request placed by you to purchase a product or service through our Website.

"Products" means the furniture, furnishings, decor items, and related goods offered for sale by Khaticraft.

"Working Days" means Monday to Saturday, excluding public holidays in Delhi NCR, India.

2. Eligibility & Account Registration

2.1 Eligibility

You may use our Website only if you are:

• At least 18 years of age and competent to enter into a legally binding contract under the Indian Contract Act, 1872

• Not a person legally barred from receiving services under the laws of India

• Capable of providing accurate and current information

If you are accessing our Services on behalf of a business entity, you warrant that you have the authority to bind such entity to these Terms.

2.2 Account Creation

To place orders or access certain features, you may need to create an Account. You agree to:

• Provide accurate, current, and complete information during registration

• Maintain the security and confidentiality of your login credentials

• Update your information promptly when changes occur

• Notify us immediately of any unauthorized use of your Account

• Accept responsibility for all activities that occur under your Account

2.3 Account Suspension or Termination

Khaticraft reserves the right to suspend, restrict, or terminate your Account at our sole discretion, with or without notice, if we believe you have:

• Violated these Terms or any applicable laws

• Engaged in fraudulent, abusive, or harmful conduct

• Provided false or misleading information

• Initiated excessive chargebacks or returns without valid reason

3. Use of the Website

3.1 Permitted Use

You may use our Website only for lawful purposes and in accordance with these Terms. You agree to use the Website for personal, non-commercial purposes, unless you are a business customer placing wholesale or bulk orders.

3.2 Prohibited Conduct

You agree NOT to:

• Use the Website for any unlawful, fraudulent, or unauthorized purpose

• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Website without our prior written permission

• Interfere with or disrupt the Website's functionality, security, or performance

• Attempt to gain unauthorized access to any portion of the Website, servers, or related systems

• Use bots, scrapers, crawlers, or automated tools to extract data from the Website

• Upload viruses, malware, or any malicious code

• Impersonate any person or entity, or misrepresent your affiliation with any person or entity

• Harass, abuse, threaten, or harm other users or our staff

• Submit false or misleading product reviews, ratings, or feedback

• Use the Website to transmit spam, chain letters, or unsolicited commercial communications

4. Products, Pricing & Availability

4.1 Product Information

We make every effort to display our products accurately, including colors, dimensions, materials, finishes, and specifications. However, please note:

• Product images are for illustrative purposes only and may differ slightly from the actual product due to handcrafted variations, monitor settings, lighting conditions, and natural grain patterns in wood

• Slight variations in wood grain, color, knots, and texture are inherent to handcrafted and natural materials and are NOT considered defects

• Dimensions mentioned may have a tolerance of +/- 2-5% due to manufacturing processes

• We reserve the right to modify product designs, materials, or specifications without prior notice

4.2 Pricing

• All prices are listed in Indian Rupees (INR / ₹) and are inclusive of applicable Goods and Services Tax (GST), unless explicitly stated otherwise

• Prices are subject to change without notice; the price applicable to your order is the price displayed at the time of order confirmation

• Shipping charges, installation fees, and additional service charges (if applicable) will be displayed separately at checkout

• In case of obvious pricing errors (e.g., a product listed at ₹1 instead of ₹1,000), Khaticraft reserves the right to cancel the order and issue a full refund

4.3 Product Availability

• Product availability is subject to stock and manufacturing capacity

• Listing of a product on the Website does not guarantee its availability at the time of order placement

• In case of unavailability, we will notify you and offer an alternative, a revised delivery date, or a full refund

4.4 GST & Taxation

All prices on the Website are inclusive of GST as applicable under the Goods and Services Tax Act, 2017. Business customers requiring GST invoices must provide a valid GSTIN at the time of order placement. GST invoices cannot be amended after order completion.

5. Orders & Order Acceptance

5.1 Order Placement

When you place an order through our Website:

• You make an offer to purchase the selected products at the listed price and terms

• Order confirmation via email/SMS is an acknowledgment of your offer, NOT an acceptance

• A binding contract is formed only when we dispatch the products and issue a shipping confirmation

5.2 Right to Refuse or Cancel Orders

Khaticraft reserves the right to refuse, cancel, or modify any order at our sole discretion, including but not limited to:

• Suspected fraud, duplicate orders, or violation of these Terms

• Inaccurate pricing or product information

• Unavailability of products or raw materials

• Inability to deliver to the specified address

• Failure to receive payment authorization

• Bulk orders that exceed reasonable retail quantities (subject to wholesale terms)

In case of cancellation by Khaticraft, the entire amount paid will be refunded to your original payment method within 7-14 working days.

5.3 Order Cancellation by Customer

Ready-Stock Items: You may cancel an order within 2 (two) hours of placing it, provided it has not been dispatched. Cancellation requests after this window may not be accepted.

Made-to-Order / Custom / Bespoke Items: Once production has begun, custom or bespoke orders CANNOT be cancelled. Any advance payment for custom orders becomes non-refundable upon commencement of manufacturing.

Cancellation Process: Email care@khaticraft.com with your order number and reason for cancellation.

6. Custom & Bespoke Orders

Khaticraft offers custom-made furniture tailored to your specifications. The following terms apply to all custom and bespoke orders:

6.1 Advance Payment

• A minimum of 50% (fifty percent) advance payment is required to initiate production in regular order and in case of Customised Order- 100% Advance Payment is required

• The remaining balance must be paid before dispatch

• Custom orders without full advance payment will not be processed

6.2 Design Approval

• Customers must approve design sketches, material samples, and specifications in writing (email/WhatsApp) before production begins

• Once design approval is given, changes may incur additional charges or extended timelines

• Khaticraft is not liable for any deviation if approved designs are followed accurately

6.3 Non-Returnable / Non-Refundable

• Custom and bespoke orders are NON-RETURNABLE and NON-REFUNDABLE except in case of manufacturing defects

• Color, finish, and dimensional variations within +/- 5% tolerance are not considered defects

6.4 Timeline

• Custom order timelines typically range from 4-8 weeks depending on complexity and materials

• Estimated delivery dates are indicative and may vary due to factors beyond our control

7. Payment Terms

7.1 Accepted Payment Methods

We accept payments through the following methods:

• Credit Cards (Visa, MasterCard, American Express, RuPay)

• Debit Cards

• Net Banking (all major Indian banks)

• UPI (Google Pay, PhonePe, Paytm, BHIM, etc.)

• Digital Wallets (as supported by our payment gateway partners)

• EMI Options (where available, subject to bank terms)

• Bank Transfer / NEFT / RTGS (for B2B and bulk orders, on request)

7.2 Payment Processing

• All payments are processed through PCI-DSS compliant payment gateway partners including Razorpay and other authorized gateways

• Khaticraft does NOT store, process, or have direct access to your card numbers, CVV, UPI PINs, or banking credentials

• By making a payment, you authorize the relevant gateway to charge your selected payment method

• In case of payment failure, your order will not be processed; please retry or contact customer support

7.3 Currency

All transactions are processed in Indian Rupees (INR). For international customers (if applicable), currency conversion rates and charges are determined by the customer's bank or card issuer.

7.4 Fraud Prevention

To protect against fraud, we may:

• Verify your identity through additional documentation

• Hold orders for manual review

• Refuse orders flagged as suspicious by our fraud detection systems

• Report fraudulent activity to law enforcement and payment networks

8. Shipping, Delivery & Installation

8.1 Shipping Coverage

• We currently ship across India through our logistics partners

• International shipping is not available at this time

• Delivery to remote or hard-to-access locations may incur additional charges

8.2 Delivery Timelines

Ready-Stock Items: 7-14 working days from order confirmation

Made-to-Order Items: 4-8 weeks from order confirmation and design approval

Bulk & B2B Orders: Timeline agreed separately based on order specifications

All timelines are indicative and may vary due to factors beyond our control such as logistics partner delays, weather, public holidays, or force majeure events. Detailed shipping terms are governed by our separate Shipping & Delivery Policy.

8.3 Delivery Inspection

• Customer or authorized representative must be available at the delivery address on the scheduled date

• You are required to inspect the packaging for visible damage BEFORE accepting delivery

• Any visible damage must be noted on the delivery receipt and reported to us within 24 hours

• Failure to inspect or report damage at the time of delivery may forfeit your right to claim damages

8.4 Installation Services

• Standard delivery includes curbside drop-off

• In-room placement and assembly services are available at an additional charge in select cities

• Installation must be completed by Khaticraft-authorized technicians for warranty validity

8.5 Risk & Title

• Risk in the products passes to you upon delivery

• Title in the products passes to you only upon full payment

9. Returns, Refunds & Replacements

Our detailed terms regarding returns, refunds, and replacements are governed by our separate Refund & Return Policy, which is incorporated into these Terms by reference.

In summary:

• Returns must be initiated within 7 days of delivery (for eligible items)

• Custom and bespoke items are non-returnable except in case of manufacturing defects

• Refunds are processed within 7-14 working days of receipt and inspection of returned items

• Items must be in original condition with all packaging, tags, and accessories

10. Warranty

Khaticraft offers a manufacturer's warranty on selected products as detailed in our separate Warranty & After-Sales Service Policy. In summary:

• Warranty covers manufacturing defects only

• Warranty does NOT cover normal wear and tear, misuse, accidents, water damage, or unauthorized modifications

• Warranty claims require the original invoice and photographs of the issue

• Warranty service options include repair, replacement, or refund at Khaticraft's discretion

11. Intellectual Property Rights

11.1 Khaticraft's Intellectual Property

All content on the Website — including but not limited to text, graphics, logos, product designs, photographs, videos, software, trademarks, trade names, and copyrighted material — is the exclusive property of Khaticraft Furnishing & Decor Solutions Pvt. Ltd. or its licensors, and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, the Designs Act, 2000, and other applicable Indian and international intellectual property laws.

11.2 Restricted Use

You may NOT:

• Reproduce, modify, distribute, transmit, display, or publish any content from our Website without our prior written consent

• Use our trademarks, logos, or brand elements without authorization

• Copy or replicate our product designs for commercial purposes

• Reverse engineer or attempt to extract source code from our Website or applications

11.3 Limited License

Khaticraft grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Website solely for personal, non-commercial purposes in accordance with these Terms.

11.4 User Generated Content

If you submit reviews, photos, comments, suggestions, or other content ("User Content") on our Website or social media tagged to Khaticraft:

• You grant Khaticraft a perpetual, worldwide, royalty-free, irrevocable license to use, reproduce, modify, adapt, publish, and display such content for marketing, promotional, and operational purposes

• You warrant that your User Content does not infringe any third-party rights and complies with applicable laws

• Khaticraft reserves the right to remove any User Content at its sole discretion

12. Limitation of Liability

To the maximum extent permitted by applicable law:

• Khaticraft, its directors, officers, employees, agents, and affiliates shall NOT be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Website or Services

• Our total aggregate liability for any claim arising out of or relating to these Terms or your use of the Website shall not exceed the amount paid by you for the specific product or service giving rise to such claim

• We are not liable for any loss of profits, revenue, business, goodwill, data, or anticipated savings

• We are not liable for any delays, failures, or disruptions caused by factors beyond our reasonable control

Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Khaticraft, its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your breach of these Terms or any applicable laws

• Your use or misuse of the Website or Services

• Any User Content you submit

• Your violation of any third-party rights, including intellectual property or privacy rights

• Any fraudulent, illegal, or harmful conduct by you

14. Disclaimers & Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, the Website and all products, services, and content are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, except as expressly set forth in these Terms or our Warranty Policy.

We do not warrant that:

• The Website will be uninterrupted, error-free, secure, or virus-free

• Defects or errors will be corrected immediately

• The information on the Website is always accurate, complete, or current

• The Website will meet your specific requirements or expectations

Implied warranties under the Sale of Goods Act, 1930 and the Consumer Protection Act, 2019, where applicable, shall continue to apply as per Indian law.

15. Force Majeure

Khaticraft shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond our reasonable control, including but not limited to:

• Acts of God, natural disasters, earthquakes, floods, fires

• War, terrorism, riots, civil unrest, strikes

• Government actions, lockdowns, curfews, regulatory orders

• Pandemics, epidemics, or public health emergencies

• Power outages, internet failures, telecommunications disruptions

• Supply chain disruptions, raw material shortages, transportation delays

• Cyber attacks, hacking, or other security incidents

During such events, our obligations will be suspended, and timelines extended accordingly. We will make reasonable efforts to notify affected customers.

16. Privacy & Data Protection

Your use of the Website is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our Services, you consent to our data practices as outlined in the Privacy Policy.

We comply with the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000, and other applicable data protection laws of India.

17. Third-Party Links & Services

The Website may contain links to third-party websites, services, payment gateways, or marketplaces (e.g., Razorpay, Amazon, Flipkart, Meta, Google). We are not responsible for the content, practices, or policies of such third parties. Your interactions with these third parties are governed by their respective terms and policies.

18. Modifications to These Terms

Khaticraft reserves the right to modify, update, or revise these Terms at any time without prior notice. The updated Terms will be posted on the Website with a revised "Last Updated" date. Your continued use of the Website after such changes constitutes your acceptance of the updated Terms.

For significant changes, we will make reasonable efforts to notify you via email or a prominent notice on the Website.

19. Termination

Khaticraft may suspend or terminate your access to the Website and Services, with or without notice, for any reason, including violation of these Terms. Upon termination:

• Your right to use the Website immediately ceases

• Pending orders may be cancelled at our discretion

• Provisions of these Terms that by their nature should survive termination (e.g., intellectual property, indemnification, limitation of liability) shall continue to apply

20. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of laws principles.

Subject to the dispute resolution clause below, any disputes, controversies, or claims arising out of or in connection with these Terms or your use of the Website shall be subject to the exclusive jurisdiction of the courts at New Delhi, India.

21. Dispute Resolution

21.1 Amicable Resolution

In case of any dispute, the parties shall first attempt to resolve the matter amicably through good-faith negotiations within 30 (thirty) days of written notice.

21.2 Arbitration

If the dispute cannot be resolved amicably, it shall be referred to and finally resolved by arbitration administered under the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. The seat and venue of arbitration shall be New Delhi, India, and the language of arbitration shall be English. The arbitral award shall be final and binding on both parties.

21.3 Consumer Forum Rights

Nothing in this clause shall prevent a consumer from approaching the appropriate consumer forum under the Consumer Protection Act, 2019.

We endeavor to acknowledge grievances within 48 hours and resolve them within 15 (fifteen) days of receipt, in accordance with applicable laws.

23. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Khaticraft may assign or transfer its rights and obligations under these Terms to any affiliate, successor, or acquirer without prior notice.

24. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

25. Waiver

No waiver of any provision of these Terms by Khaticraft shall be deemed a further or continuing waiver of such provision or any other provision. Failure by Khaticraft to enforce any right or provision shall not constitute a waiver of such right or provision.

26. Entire Agreement

These Terms, along with our Privacy Policy, Refund & Return Policy, Shipping & Delivery Policy, Warranty Policy, and any other policies referenced herein, constitute the entire agreement between you and Khaticraft regarding your use of the Website and supersede all prior agreements, communications, and understandings.
